引进独立董事制度 完善董事会职能

在董事会职能的演变中,并存着两种趋势:一是董事会的职权被强化,形成董事会中心主义;二是公司业务执行权从董事会中分离出去,由经理掌握。伴随着这两种趋势,又同时并存着两个极为突出的问题:一是大股东控制董事会,使董事会中心主义实际沦为大股东中心主义;二是经理业务执行权的取得,对公司极易形成内部人控制。要解决这些问题,除了公司股权结构应合理配置之外,在董事会内部,应尽量增加独立董事,重建董事会的独立性,使其在内部构成上和功能上更加合理和完善。

On Introducing Independent Directors to Improve the Function of Board of Directors

There are two concnnent trends in the function transformation of board of directors:Eitherthe power of the board ts fortified to a dominant position or the executive power is shifted from the boad of directors to the management. And there are two problems accompanied by the trends: One is that the major shareholders control the board of directors. lowering its importance; the other is the problem of insider control resulted from the management' s excessive executive power. To solve these problems. we shoule increase the number of independent directors to reconstruct the independence and adequate function of the board in a ddition to adjusting company share structure.
