| 摘 要： | 民法和商法是私法中的两大领域，两者关系十分密切，笔者通过对民商分立与民商合一两种商事立法体制的形成依据分析，推论出当代大陆法系各国商事立法的发展趋势和我国民法典采用民商合一体制的必然性。

| Abstract: | The civil law and the commercial law constitute laws are closely teamed up with each other. Through the analysis two big spheres of private laws and the afore-stated of the formation foundation of the legislative systems of the two commercial affairs of the integration and the separation of the civil and the commercial laws, the writer has inferred the development tendency of commercial affairs legislation in the countries of continental laws and has deduced the inevitability of the adoption of the integration of civil and commercial laws in Civil Code of China.. |
