论隐名股东的股东资格认定——兼谈我国公司法司法解释三相关规定的完善

认定隐名股东的股东资格应遵循公示主义和公信主义原则,优先保护善意第三人的信赖利益,以维护交易安全和便捷;保障当事人意思自治和合同自由原则,保护公司实际投资人的利益,以鼓励投资;遵循公司资本充实和不变原则,维护公司的长期稳定的存续和发展,体现现代公司法的企业维持理念;遵循诚实信用和公平原则,维护公司利益相关者之间的利益平衡.原则上可认定冒名股东的股东资格,但有限责任公司冒名股东的股东资格认定,还须经其他股东半数以上同意;假名股东具有股东资格;信托人身份的借名股东不具有股东资格;委托人身份的借名股东的股东资格认定应区分公司外部和公司内部进行,在公司内部委托人身份的借名股东的股东资格应按照我国合同法关于隐名代理的规定予以认定.

Identification of the Qualifications of Anonymous Shareholders: Improvement of Three Regulations Concerning China's Corporate Law's Judicial Interpretation

To identify the qualifications of anonymous shareholders, we should abide by the principles of public demonstration and public faith, and give priority to the protection of the kind third person＇ s trust so as to maintain the safety and convenience of transactions. Attention should also be paid to the autonomy of the clients＇ intentions and the freedom of contracts as well as the interests of actual investors. This paper studies the other issues related as well.
