| 摘 要： | 通过对高新技术企业尤其是高校高新技术企业的物质资本产权和人力资本产权的分析和讨论,指出高新技术企业是建立在物质资本产权和人力资本产权两个产权形态基础上的要素组织形式,两种产权之间的权利和利益的配置以及相互之间地位的动态调整会影响到高新技术企业发展的动力和后劲。认为明晰高校高新技术企业的产权能够对高校高新技术企业的发展起到最终的推动作用,在此基础上建立的企业治理结构和管理模式是有效的。在人力资本的产权地位没有被正式确立以前,委托-代理理论仍将是现代高新技术企业治理的一个有效工具。

| Abstract: | High-technology Enterprises Owned by Universities(HEOU) are in essence the enterprises adopting high technology. Material capital property and human capital property in high-technology enterprises owned by universities are analyzed. It is pointed out that the HEOU are built based on these two properties. The right and benefit allocations of these two properties and their relationship affect the motivation of enterprises' development and their potential development. It is pointed out that the commission-agency will be an effective way of the governance of modern high technology enterprises. |
