股权结构与治理结构改革：国外的实践与我国的选择

公司治理结构源于公司股权结构，公有股权结构与市场结构和资本市场的发展具有较强的相关性，不同的市场结构，资源配置的有效性所要求的产权主体即股权结构不同，完全与寡头垄断的市场结构，以国有产权为主，国有资本全股，控股，其他法人，社会资本参与，垄断竞争的市场结构，以混合所有产权结为特征，非国有产权为主，国有产权参与；充分竞争的市场结构，以非公有产权为主，公有产权参与，与其相对应，在那些易于形成垄断，生产过程透明度高的领域适宜建立内部控制型治理结构，在那些竞争充分的领域，宜选择外部控制型公司治理结构，非公有制企业改制宜选择家族监控型公司治理结构。

Innovation on Corporate Governance Structure :Foreign Practice and Chinese Reality

The corporation management structure originated from the corporation share holding structure,while the latter relys on the development of market structures and capital market.In different market structures,the property rights' main body required by the validity of resources allocation,i.e. the share holding structure,is different.In monopoly market structure,we should make state owned property rights dominate and play a leading role.In monopoly and competition market structure,we should make mixed property rights structure dominate and state owned property rights are concerned.In full competition market structure,we should make nonstate owned property rights dominate.Accordingly,in the field where the monopoly is easy to form,the transparence of producing process is high,the commonality is strong and the stability of social development is needed,we should establish inter controlling corporation management structure.In the field where competition is sufficient,we should establish exter controlling management structure.While in the fields where nonstate owned property rights' body dominates,we should establish family controlling management structure.
