| 摘 要： | 独立董事在董事会中占多数地位是独立董事整体独立性即董事会独立性———独立于管理层程度的基本保证。研究在制度约束下的中国上市公司董事会独立性与公司特征的关联性,对绩效、结构和行业(多元化经营)因素进行分析,提出了公司业绩、独立董事薪酬、两权合一状况、公司属性、股权集中度、行业以及多元化等因素与独立董事独立性之间关系的五个有待经验检验的命题。
