| 摘 要： | 在我国的公司实践中 ,注册资本不实的现象大量存在 ,严重扰乱了社会正常的交易秩序 ,损害了债权人的合法利益。本文在分析注册资本不实现象产生原因的基础上 ,提出杜绝这一现象的法律对策 :改革现有资本制度 ,确立折衷授权资本制 ;完善注册资本不实的法律后果的规定 ,引入公司成立无效制度 ;完善注册资本不实法律责任的规定 ,构建科学合理的出资责任体系。
