股份合作制企业是一种新型的企业组织形式 ,它集资合性与人合性于一体 ,以其特有的优势成为当前城市集体经济改革的首选形式。然而由于实践先行而理论和规范滞后 ,目前仍然缺乏高层次的立法 ,以致实践中出现了大量不规范的做法 ,如适用范围泛化 ,把一些其他企业形态视作股份合作制企业等等 ,这些都严重阻碍了股份合作制企业的健康发展 ,也影响到司法实践中对实体责任承担的准确认定。因此有必要对股份合作制企业的性质、特征、法律地位、运行规则等问题进行探讨

On the Legal Mechanism of the Share Cooperative Enterprise

the share cooperative enterprise is a new style which is the capital cooperation as well as the personal cooperation. This new style cooperation is playing an important role in the economical reform of collective economy in the cities. But because of the theory and norms no meeting the demand of the practice, and lacking the high-level legislation, the new style cooperative is not going on well. The author in this article wants to make a discussion for the points concerning the cooperation:quality, legal position, characteristic and rules of moving.
