| 摘 要： | “一人有限公司”制度是公司法的重要内容。由于“一人有限公司”与传统大陆法系关于公司的社团性、法人性相冲突，因此各国法律都经历了从禁止到许可的过程。我们既要看到其弊端，又要看到其对经济发展的积极作用。我国公司法应允许其存在，同时对其加强法律规制。

| Abstract: | The system of Ltd with only one person is the important content in Company Law.Because of the conflict between Ltd with only one person and the social group and legal person regulated in the traditional continent law system,every state law experienced the process in which it was forbidden initially but permitted finally.People must both stress its defects and its active influence on economical development.The company must be permitted and regulated in the Chinese Company Law. |
