公司信用缺失的分析及我国公司法的完善

有限责任公司以特有的分散投资风险的特点,使其已成为当今经济生活中最活跃的主体。但由于我国公司法中股东有限责任的绝对化、公司资本制度和法人治理结构的缺陷,加之高额的诉讼成本、商业信息的阻塞等原因,导致我国有限责任公司的信用缺失非常严重。本文针对以上原因进行了深入的分析,并对我国《公司法》修订提出了相应的建议,以期对信用社会的建立有所贡献。

On Analysis of Corporate Credit Deficiency and Perfection of the Company Law of China

Because of its character of decentralizing risk of investigation, the limited corporate has become the most active subject of present economic life. However, some provision in the Company Law of China, such as the absoluteness of stockholders' limited responsibility, capital system of corporate, deficiency of control structure etc., lead the limited corporate be lack of credit seriously. So, the article puts forward the corresponding suggestion and hopes to do good to the establishment of a credit society
