论我国独立董事制度的完善

独立董事制度产生于20世纪70年代的美国.实践证明独立董事制度已经成为公司治理结构中的重要组成部分,并且发挥着不可替代的作用,该制度是避免内部人控制、保护中小股东利益的有效手段.我国于20世纪90年代开始逐步引入独立董事制度,由于其实行的时间短,无论在立法上还是实践上都有诸多问题有待解决.通过对独立董事制度在我国的现状和形成原因的分析,在借鉴相关研究成果的基础上,提出了完善我国独立董事制度的几点建议.
