| 摘 要： | 从知识管理的角度分析企业兼并的前提条件和均衡规模可以发现,兼并活动是企业的一种战略选择,其前提条件是适应环境的变化,而且必须"囤积"充足的管理资源;从资产经济价值的决定因素,契约关系的类型和作用,以及资产经济价值与企业规模相关性的角度,分析企业纵向一体化的合理性,剖析原因,表明选择的分界点,发现企业最优兼并规模的基础及条件。

| Abstract: | Judging from the perspective of knowledge management, the analysis of premise and even scale for enterprise annex shows that annexing activity is a kind of strategic choice, whose premise is both to adapt circumstantial change and to "stock up" plenitude of managerial resources. From the angle of determinants in economic value of assets and of type and function in contracted relationship and of pertinence between economic value of assets and enterprise scale, this article aims to analyze the rationality and the reason of enterprise vertical integration, to make clear the interfacing point for the choice and to find out the basis and the condition for the best annexing scale. |
