我国新《公司法》中增设了一人有限责任公司,这表明我国在法律上正式明确了一人公司的法律地位,标志着我国公司法律制度的一个重大进步。然而,相关法律对一人有限责任公司限制有余,引导不足。这不利于我国一人有限责任公司的健康发展和市场主体的完善。因此,我们有必要进一步充实我国的一人有限责任公司法律制度。一方面,要加强外部监管和合理引导;另一方面,要健全一人有限责任公司的内部治理结构。

A new provision about one-member company limited has been added to the new corporation law.This represents a great advancement in onemember company limited law system in our country.But the law has too much restriction while scares adequate lead.This is adverse not only to the healthy development of one-member company limited but also to the market main body's perfection.So,it is necessary to enrich law system on one-member company limited further.On the one hand,we should strengthen exterior intendance and steer in reason.On the other hand,we also should perfect the interior managing structure of one-member company limited.
