论外商风险企业的法人治理结构

风险公司是资本、技术和管理的结合体 ,它在股权结构、董事会的安排上均不同于传统的公司 ,正是这种特殊的治理结构 ,才得以使风险公司的各种组成要素均得以发挥自己最大的优势 ,使得风险投资活动得以顺利进行。我国外商投资企业的公司治理结构存在着种种问题 ,不利于风险投资活动的发展 ,因而对《公司法》和外商投资企业法做出全面的修订 ,已迫在眉睫。
